ThisAgreementforGuaranteedMaximumPriceConstructionServices（"Agreement"）,effectiveasof_________,_________,_________（M,D,Y）（the"EffectiveDate"）isenteredintobetweenAAALLC,a_________（PLACENAME）limitedliabilitycompany（"Owner"）,andBBB,INC.,a_________（PLACENAME）Corporation（"Contractor"）,withregardtothefollowing.

RECITALS

A.Ownerownstherealpropertycommonlyknownas3131_________（PLACENAME）BoulevardSouth,_________（PLACENAME）andmoreparticularlydescribedonExhibitAattachedheretoandincorporatedhereinbythereference（"Site"）.

B.OwnerdesirestoconstructontheSiteafirstclassluxuryresortandcasino,includinghigh-risehotelspaceandlowrisespacecomprisedofcasinoandgamingareas,restaurants,retail,conventionandmeetingareas,an"AquaTheatre"showroom,andexteriorfeatures,andallon-Siteandoff-Siteimprovementsandinfrastructurerelatedthereto,allinfullaccordancewiththeContractDocuments,includingtheDrawingsandSpecifications,andincludingtheWork（asdefinedbelow）（the"Project"）.Contractor'sWorkisonlyaportionoftheProject.TheProjectalsoincludesservicesandmaterialstobeprovidedbyOwnerandotherseparatecontractorsandconsultants.

C.ContractorandOwneracknowledgethattheDrawingsandSpecificationsarenotcomplete,andContractorandOwneragreetoworktogethertocompletetheDrawingsandSpecificationsasprovidedinthisAgreement,includingconsistentwiththeGuaranteedMaximumPricePremisesandAssumptionsandProjectSchedule.

D.OwnerdesirestoengageContractortoconstruct,andsupervisetheconstructionof,thatportionoftheProjectcomprisingtheWorkasmorefullydescribedinthisAgreement,andContractordesirestoacceptsuchengagement,uponthetermsandconditionscontainedinthisAgreement.

Inconsiderationofthemutualcovenantsandagreementssetforthbelow,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,ContractorandOwnerherebyadoptandincorporatetheforegoingRecitalsandagreeasfollows:
